Upon approval and payment (as agreed), we initiate the project and maintain clear communication throughout development.

Project delivery timelines are estimates and may be adjusted due to feedback delays, unexpected technical issues, or external factors.

4. Payments and Billing

All payments must be made in accordance with the terms outlined in the project contract or service agreement. Payment modes include online bank transfers, digital payment platforms, or other agreed-upon methods.

Late payments may incur interest or service suspension. All amounts are payable in full, without deductions for taxes, duties, or third-party charges unless specified. 

For recurring services, such as hosting or marketing retainers, you will be billed on a monthly or annual basis, depending on the selected plan.

5. Intellectual Property and Licensing

Unless otherwise agreed in writing, Syntexion retains full ownership of the tools, frameworks, templates, and proprietary code used to deliver your project.

You will receive a license to use the final deliverables as per the terms in your contract — this may be a full transfer, non-exclusive license, or usage-limited grant depending on the engagement.

Use of our intellectual property for resale, redistribution, or reproduction outside the agreed terms is prohibited.

6. Use of Third-Party Tools and Services

To provide efficient and high-quality service, we may use third-party platforms, APIs, libraries, or plugins. We do not own or control these third-party tools and cannot guarantee their availability, performance, or updates.

Any downtime or limitations resulting from third-party services are beyond our control.We ensure compliance with their terms to the best of our ability and expect our clients to do the same when using those integrations.

7. User Content and Responsibilities

If you provide content (such as images, text, videos, or data) to be used in your project, you affirm that you own the rights or have appropriate licenses for that material. You agree not to upload or share content that is unlawful, offensive, or violates the rights of any third party.

We reserve the right to refuse or remove content at our discretion if it violates applicable laws or our internal policies.

8. Confidentiality

Both Syntexion and the client agree to maintain the confidentiality of proprietary or sensitive information exchanged during the course of a project.

This includes but is not limited to designs, source code, business data, marketing strategies, and client records.

This obligation remains in effect both during and after the end of the contractual relationship, unless disclosure is required by law or mutually agreed in writing.

9. Service Availability and Performance

We strive to deliver reliable and uninterrupted access to our digital services. However, service availability may be affected by maintenance, server updates, or factors outside our control (e.g., third-party hosting, network issues, or force majeure events).

We commit to addressing issues promptly and maintaining communication with affected users until full service is restored.

10. Termination and Suspension

We reserve the right to suspend or terminate any service or account if you breach these terms, engage in illegal activity, or violate contractual obligations. In such cases, we may revoke access to deliverables, and no refunds will be issued unless mandated by law.

Clients may terminate a project or subscription by providing written notice, as per the cancellation clause in their service agreement.

Any completed work up to the date of termination will be billed accordingly.

In the event of a dispute, both parties agree to first attempt resolution through informal negotiation. If unresolved, the matter may be escalated to arbitration or legal proceedings, depending on the jurisdiction and applicable laws.
